10. Governing Law
These Terms are governed by and interpreted under the laws of the State of New York, USA.

11. Third-Party & Optional Partner Services

SNBN may introduce members to independent third-party businesses or partner service providers for optional services, including marketing, consulting, technical assistance, digital services, or other business support.

When a member enters into a separate agreement and pays the provider directly, the service is governed by the provider’s own agreement, pricing, policies, and refund terms. SNBN does not control or guarantee those services and is not responsible for disputes arising solely from them.

This section does not apply to services purchased and paid for directly through SNBN.

12. Independent Contractors Working for SNBN

SNBN may use independent contractors to perform website design, development, technical support, marketing, consulting, and related services on SNBN’s behalf.

Independent contractors work with SNBN but are not employees, owners, or legal partners of SNBN. Authorized contractors may help establish service packages, pricing, features, and buyout terms, but final customer terms are approved and issued through SNBN.

When a customer purchases and pays for a service directly through SNBN, the customer’s agreement is with SNBN, even when an independent contractor performs some or all of the work.

13. Website Subscription Service

Beginning July 13, 2026, SNBN website services are offered as managed website subscriptions directly through Sisters & Brothers Network.

Customers who enroll in the SNBN Website Subscription Program:

  • Enter into a Website Subscription Agreement directly with SNBN

  • Pay setup fees and recurring website subscription payments directly to SNBN

  • Receive website services based on the package selected

  • Must maintain an active, paid SNBN business listing membership in good standing

  • Must maintain an active, paid website subscription

  • Receive the right to use the website while both memberships remain active

  • Do not automatically purchase or own the website through subscription payments

Website services may include website design, hosting, maintenance, routine updates, technical support, CRM features, automations, AI-related features, and other services included in the selected package.

The website may be designed, developed, maintained, or supported by SNBN employees or independent contractors working on behalf of SNBN.

The website will be built and managed through systems, accounts, hosting platforms, or credentials controlled or approved by SNBN.

Additional requirements are contained in the SNBN Website Subscription Agreement and the Website Subscription Terms & Policies

14.Website Membership, Access, Ownership, and Buyout

Website subscription services are available only to customers who maintain an active, paid SNBN business listing membership in good standing.

If the customer’s SNBN membership or website subscription is canceled, suspended, expires, or becomes inactive because of nonpayment or a policy violation, SNBN may:

  • Suspend or end website hosting

  • Take the website offline

  • Suspend updates and technical support

  • Suspend CRM, automation, AI, and related services

  • Remove access to SNBN-managed systems

Customers retain ownership of original content they provide, including their business name, logo, photographs, videos, written content, product information, and pricing.

SNBN retains ownership and control of its website systems, hosting accounts, templates, frameworks, workflows, CRM configurations, automations, AI systems, internal processes, and other proprietary materials.

A customer who meets SNBN’s eligibility requirements may request a Website Buyout. The buyout price, eligibility rules, transfer process, and materials included or excluded are governed by the customer’s Website Subscription Agreement and Website Subscription Terms & Policies.

Website buyout payments are made directly to SNBN. Independent contractors may not independently offer, negotiate, collect payment for, or complete a website transfer without SNBN’s written authorization.

Website agreements entered into before July 13, 2026, may remain governed by the original agreement, payment structure, access rules, ownership terms, and transfer arrangements accepted by the member and the applicable service provider.

Those earlier website arrangements do not automatically become part of SNBN’s managed Website Subscription Program.

A customer with an earlier website agreement may transition into the new SNBN Website Subscription Program only by entering into a new agreement with SNBN or otherwise clearly accepting the new terms in writing.

15. Third-Party Service Disclaimer & Limitation of Liability

SNBN may refer members to independent third-party service providers for optional business support. SNBN does not control, endorse, or guarantee any third-party services, pricing, performance, or outcomes. Any agreements, payments, or services are entered into solely between the member and the service provider, and members engage such services at their own discretion and risk.

16. Membership Approval, Standards, & Right of Refusal

Sisters & Brothers Network (SNBN) is a curated, referral-based business directory built on trust, integrity, and relationship-driven referrals. To maintain this standard, all businesses are subject to a review and vetting process prior to being approved and listed on the platform.

SNBN’s vetting criteria and standards are proprietary, confidential, and subject to change at any time. These criteria are applied at SNBN’s discretion to preserve the integrity, quality, and alignment of the network. SNBN is not obligated to disclose specific evaluation criteria or reasoning for approval or denial decisions.

Submission of an application does not guarantee acceptance. SNBN reserves the right, at its sole discretion, to accept, decline, or remove any listing at any time, including but not limited to cases where a business does not align with SNBN’s standards, values, or overall fit within the network.

SNBN reserves the right to remove any listing without prior notice and without liability if its standards are violated or if continued participation is deemed inconsistent with the purpose of the network.

All decisions made by SNBN regarding application approval, denial, or removal are final and not subject to appeal.

17. Changes to These Terms

SNBN may update these Terms to reflect changes in its services, technology, providers, policies, laws, or business operations.

Material changes affecting an existing paid service will be communicated when required by applicable law.

The version of the Terms accepted at the time of purchase will govern the original transaction unless the customer later accepts an updated version or the change is otherwise permitted by law.
